OfferDispatch Privacy Policy

This Privacy Policy explains how T&K Solutions, LLC, a Pennsylvania limited liability company doing business as Precision Leverage Solutions ("PLS," "we," "us," or "our"), collects, uses, shares, and protects information in connection with the OfferDispatch platform and service ("OfferDispatch" or the "Service").

OfferDispatch is a professional tool for licensed Keller Williams real estate agents in Pennsylvania. It is a business-to-business service. This Policy is incorporated into the OfferDispatch Terms of Service. Capitalized terms not defined here have the meaning given in the Terms.

If you are a Buyer-Signer (a buyer-client who receives a document to sign through the Service), please see Section 7, which describes how your information is handled.

1. Who This Policy Covers

• Agents / Users: the licensed agents who register for and use the Service.
• Buyer-Signers: buyer-clients who receive an offer for electronic signature. Buyer-Signers do not have accounts and do not pay for the Service. Much of the information about a Buyer-Signer is provided to us by the Agent.

The Agent is responsible for its own relationship with, and privacy obligations to, its clients and Buyer-Signers.

2. Information We Collect

2.1 Agent Account Information

When you register and are verified, we collect your name, email address, real estate license number, and Keller Williams brokerage or market center affiliation, and information we use to verify your eligibility.

2.2 Deal and Intake Information

To assemble Offers, we process information you enter, which may include:

• Contact and property information: buyer name, buyer email, buyer mailing address, and the subject property address.
• Deal terms: purchase price, earnest money and additional deposit amounts, seller concessions, financing type, loan amount, maximum interest rate, lender name and contact, dates, contingencies, and your own special-clause text.
• Electronic signature information: the Buyer-Signer's electronic signature and, through our e-signature provider, signing metadata such as the signer's IP address and timestamps used to support the audit trail.

2.3 Documents You Upload

The Service includes a document-upload feature (an agent library and per-deal uploads). We process the files you choose to upload. You must not upload documents containing Social Security numbers, financial account or routing numbers, payment card numbers, credit reports or scores, income, or financial-qualification data, as described in the Terms. You are responsible for redacting such information before upload.

2.4 Payment Information

Payments are processed by Stripe. We do not collect or store full payment card numbers. Stripe collects and processes your payment information under its own terms and privacy policy. We receive limited billing details such as transaction status and the last four digits or card brand.

2.5 Technical and Usage Information

We and our hosting and infrastructure providers automatically collect technical information such as device and browser type, IP address, log data, and usage activity, used to operate, secure, and improve the Service.

3. Information We Do Not Collect

The structured intake of the Service does not request or collect Social Security numbers, bank account or routing numbers, credit scores, income, or financial-qualification data. The deal-financial fields we process (such as purchase price and loan amount) are transaction terms, not your client's personal financial accounts. The primary way such sensitive data could enter the Service is through the upload feature, which is why uploading it is prohibited (Section 2.3).

4. How We Use Information

We use information to:

• verify eligibility and provide access to the Service;
• assemble, fill, and dispatch Offers based on the information you provide;
• perform deterministic calculations and clerical consistency checks;
• route Offers to Buyer-Signers for electronic signature;
• maintain the audit trail and support draft-resume;
• process payments and manage subscriptions and billing;
• provide support, communicate with you, and send service and transactional messages;
• secure, monitor, troubleshoot, and operate the Service;
• comply with legal obligations and enforce our Terms.

We do not use your inputs or generated Offers to train, fine-tune, or develop AI models (see Section 5).

5. Artificial Intelligence and No Model Training

The Service uses a third-party large language model, accessed through a commercial application programming interface, to assemble and fill forms from the information you provide. The AI is used for inference only.

We do not use your inputs or your generated Offers to train, fine-tune, or develop any AI model. We operate no model-training pipeline. Our AI provider does not train its models on commercial API inputs or outputs by default. Inputs and Offers are stored only to operate the Service, such as for the audit trail and draft-resume, not for training. If we ever decide to use de-identified content for narrow product-improvement purposes that are distinct from model training, we will update this Policy and the Terms first.

6. How We Share Information

We do not sell your personal information. We share information only as follows:

6.1 Sub-Processors

We use third-party service providers (Sub-Processors) to operate the Service, including providers for AI document assembly, hosting, database and file storage, electronic signature, email delivery, payment processing, and address and property data. These providers process information on our behalf under contractual confidentiality and security obligations. 6.2 Buyer-Signers and the Signing Process

When you dispatch an Offer, relevant Offer information and the recipient's email are shared with our e-signature provider to deliver the document for signature.

6.3 Legal and Protection

We may disclose information if required by law, subpoena, or legal process, or where we believe disclosure is necessary to protect our rights, your safety or the safety of others, to investigate fraud or security issues, or to enforce our Terms.

6.4 Business Transfers

If PLS is involved in a merger, acquisition, financing, or sale of assets, information may be transferred as part of that transaction, subject to this Policy.

7. Buyer-Signer Information

If you are a Buyer-Signer, the Agent who represents you provided your name, email, mailing address, and the deal terms to the Service in order to prepare an offer for your signature. When you sign, our e-signature provider records your electronic signature and signing metadata (such as IP address and timestamps) to create a tamper-evident audit record. PLS processes this information to operate the signing and audit functions of the Service on the Agent's behalf. PLS does not have an advisory or brokerage relationship with you. For questions about your transaction or how your information is used in your representation, please contact your Agent. You may contact us at the address in Section 13 with questions about the signing process itself.

8. Data Retention and Deletion

We retain information for as long as needed to provide the Service and for legitimate business, legal, and recordkeeping purposes.

• Account information is retained while your account is active.
• Inputs and drafts: after termination of your account, we provide a 30-day window during which you may export your inputs and drafts. After that window, we delete your inputs and drafts.
• Executed Offers and audit records: we retain executed Offers and associated audit records for a defined period to support the integrity of the audit trail, to meet legal and recordkeeping needs, and to allow either party to defend its rights. That retention period is the longer of the period required by applicable Pennsylvania real estate recordkeeping rules or seven (7) years.

You remain responsible for your own professional transaction-recordkeeping obligations and should keep your own copies of important documents.

9. Security

We implement reasonable administrative, technical, and physical safeguards designed to protect information, including access controls and encryption in transit. No method of transmission or storage is completely secure, and we cannot guarantee absolute security. You are responsible for safeguarding your account credentials and for not uploading prohibited sensitive data.

10. Your Choices and Rights

• Account information: you can review and update your account information in the Service or by contacting us.
• Marketing messages: you may opt out of non-essential marketing emails using the unsubscribe link; we may still send transactional and service messages.
• Access and deletion: you may request access to or deletion of your personal information, subject to our retention obligations and legal limits, by contacting us at the address in Section 13.

Because the Service is a professional B2B tool, much of the information we process belongs to the Agent's transaction records. Where you act as a service provider or business on behalf of your clients, you are responsible for handling client requests about their information.

11. Cookies and Analytics

The Service and our hosting provider use cookies and similar technologies necessary to operate the Service, maintain sessions, and understand usage for security and performance. You can control cookies through your browser settings, though disabling some cookies may affect functionality.

12. Children's Privacy

The Service is intended only for licensed real estate professionals and is not directed to children. We do not knowingly collect personal information from children under 13 (or under 16 where applicable). If you believe a child has provided information to us, please contact us so we can delete it.

13. Changes and Contact

13.1 Changes to This Policy

We may update this Policy from time to time. We will update the "Last Updated" date and, for material changes, provide notice. Your continued use after changes take effect constitutes acceptance.
